Terms of Service
These terms are a binding agreement between you and ClipRoyalty. Please read them. By using the Service, you agree to them. If you use ClipRoyalty on behalf of a company, you agree on that company's behalf.
1. Acceptance of these terms
These Terms of Service ("Terms") govern your access to and use of the ClipRoyalty website and app (the "Service"). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
2. Eligibility
You must be at least 18 years old and able to form a binding contract to use the Service. By using it, you represent that you meet these requirements and that the information you provide is accurate and current.
3. Your account
You are responsible for your account and for keeping your login credentials secure. You are responsible for all activity under your account. Tell us promptly at support@cliproyalty.com if you suspect unauthorized use. You may not share, sell, or transfer your account, and you may not create an account using someone else's identity or a channel you do not control.
4. How the marketplace works
ClipRoyalty connects brands with independent creators. Brands publish campaigns describing a product and the kind of video they want. Creators make a genuine, original video and submit it as a private draft. ClipRoyalty screens the draft, the brand reviews and approves it (within the review window described below), and only then does the creator post the video publicly and begin earning based on verified views and, where applicable, attributed conversions.
ClipRoyalty is a marketplace and facilitator. Creators are independent and are not employees, agents, or partners of ClipRoyalty or of any brand. Nothing in these Terms creates an employment, agency, joint-venture, or partnership relationship.
5. Creator terms
- Genuine, original content. You must create the video yourself and express your own honest views. You may not submit content you did not make, plagiarized content, or content that misrepresents your experience with the product.
- Disclosure. You must clearly disclose that your content is sponsored or that you were compensated, in line with the U.S. FTC endorsement guidelines and any disclosure requirements the brand or campaign specifies.
- Draft first. You agree not to publish a campaign video publicly until it has passed screening and been approved by the brand (or auto-approved as described in section 6). Publishing before approval may make the video ineligible for earnings.
- No fake engagement. You may not buy, bot, or artificially inflate views, likes, comments, or clicks. Views obtained through fraud will not be paid and may result in removal.
- Compliance. Your content must follow the rules of the platform where it is posted (for example, YouTube, TikTok, or Instagram) and all applicable laws.
6. Brand terms
- Accurate briefs. You are responsible for the accuracy of your campaign brief, product information, and any claims you ask creators to consider. You may not ask creators to make false or misleading claims.
- Review window. You have 7 days from submission to approve or decline a screened draft. If you do not act within that window, the draft is auto-approved so the creator's work is not wasted. Approval means you accept the video for public posting under the campaign's terms.
- Payment obligation. Once a video is approved and posted, you are obligated to pay for verified views and attributed conversions under the campaign's agreed rate, subject to the anti-fraud checks in these Terms.
- Funding. You agree to fund campaigns as required and authorize ClipRoyalty to charge or invoice you for amounts owed to creators plus any applicable platform fees.
7. Payments & earnings
Creator earnings are calculated on verified views (typically expressed as a rate per 1,000 or per 100,000 views) and, where a campaign uses it, on conversions attributed through tracked links or promo codes. Earnings accrue to your ClipRoyalty balance and become available for payout once they clear our verification and any minimum-payout threshold shown in your wallet.
Payouts are made through our third-party payment processor to the payout method you provide (such as PayPal or ACH). You are responsible for the accuracy of your payout details and for any taxes on your earnings; we may require tax information and may issue tax forms where the law requires. ClipRoyalty may charge a platform fee, which will be disclosed to you. We may withhold, reverse, or adjust earnings that result from fraud, error, chargebacks, or a violation of these Terms.
8. Prohibited conduct
You agree not to:
- Use bots, click farms, or any means to inflate views, engagement, or conversions.
- Post content that is unlawful, defamatory, hateful, harassing, sexually explicit, or that infringes anyone's rights.
- Misrepresent your identity, your reach, or your relationship with a brand.
- Circumvent the draft-approval process or the Service's fees by transacting off-platform to avoid them.
- Scrape, reverse-engineer, disrupt, or attempt to gain unauthorized access to the Service.
- Violate the terms of any third-party platform where content is posted, or any applicable law.
9. Your content and the license you grant
You keep ownership of the videos and materials you create. By submitting content to the Service, you grant ClipRoyalty a non-exclusive, worldwide, royalty-free license to host, display, and process that content to operate the Service, to share it with the relevant brand for review and approval, and to reference approved videos and their performance for reporting. You grant the brand the rights described in the applicable campaign for approved videos. You represent that you have all rights needed to grant these licenses and that your content does not infringe anyone else's rights.
10. Our intellectual property
The Service, including its software, design, text, and the ClipRoyalty name and logo, is owned by ClipRoyalty and protected by intellectual-property laws. We grant you a limited, revocable, non-transferable license to use the Service as intended. You may not copy, modify, or create derivative works of the Service except as allowed by these Terms.
11. Suspension & termination
You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you violate these Terms, if we are required to by law, or to protect the Service or other users — including, where warranted, withholding earnings tied to fraud or abuse. When your account ends, sections of these Terms that by their nature should survive (such as payment, content licenses for already-approved videos, disclaimers, and liability limits) will continue to apply.
12. Disclaimers
The Service is provided "as is" and "as available." To the fullest extent permitted by law, ClipRoyalty disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee any particular level of views, earnings, conversions, or campaign results, and we are not responsible for the acts or omissions of brands, creators, or third-party platforms.
13. Limitation of liability
To the fullest extent permitted by law, ClipRoyalty and its officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill. Our total liability for any claim relating to the Service will not exceed the greater of the amounts paid to or by you through the Service in the twelve months before the claim, or one hundred U.S. dollars (US$100). Some jurisdictions do not allow certain limitations, so some of these may not apply to you.
14. Indemnification
You agree to indemnify and hold ClipRoyalty harmless from claims, losses, and expenses (including reasonable legal fees) arising from your content, your use of the Service, or your violation of these Terms or of any law or third-party right.
15. Governing law & disputes
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules. You agree that disputes will be resolved in the state or federal courts located in Delaware, and you consent to their jurisdiction, unless applicable law gives you the right to bring a claim elsewhere. Before filing any claim, you agree to first contact us at support@cliproyalty.com so we can try to resolve it informally.
16. Changes to these terms
We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date and, where appropriate, notify you. Your continued use of the Service after an update means you accept the revised Terms.
